By accessing or using the Bernio platform ("Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a firm or organisation, you represent that you have authority to bind that entity. If you do not accept these Terms, you may not use the Platform.

2. Platform Access & Accounts

Access to the Platform is granted to authorised users under a valid subscription or evaluation agreement. You are responsible for maintaining the confidentiality of your credentials, restricting access to authorised personnel, and promptly notifying us of any unauthorised access. Accounts are non-transferable.

3. Permitted Use

The Platform is licensed for lawful professional legal workflow use only. You may not: reverse-engineer or attempt to extract source code; use the Platform to process data in violation of applicable law or professional conduct rules; resell, sublicense, or make the Platform available to third parties outside your authorised organisation; or use the Platform in any manner that could damage, disable, or impair its operation.

4. Client Data & Professional Responsibility

You retain ownership of all client and matter data you input into the Platform. Bernio processes such data solely to provide the contracted services. You are responsible for ensuring your use of AI-generated outputs complies with your professional responsibility obligations, including supervision of AI assistance and review of all outputs before delivery to clients or counterparties. AI outputs are tools, not legal advice.

5. Intellectual Property

Bernio and its licensors retain all right, title, and interest in the Platform, including all software, models, interfaces, and documentation. Nothing in these Terms transfers ownership of Platform IP to you. You retain ownership of your client data and any outputs generated from your data, subject to the limitations set out in your service agreement.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other's Confidential Information and to use it only as necessary to perform obligations under these Terms. Bernio will not disclose your client or matter data to any third party except as required by law or as authorised by you in writing.

7. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" FOR PROFESSIONAL TOOL USE. BERNIO MAKES NO WARRANTY THAT AI OUTPUTS ARE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR LEGAL PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERNIO'S LIABILITY IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. BERNIO IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in Austin, Texas, except that either party may seek injunctive relief in any court of competent jurisdiction.

9. Changes to Terms

We will provide at least 30 days' notice of material changes to these Terms. Continued use of the Platform following notice constitutes acceptance of revised Terms.

Privacy Policy

1. Who We Are

Bernima Inc. ("Bernio", "we", "us") is a Delaware corporation operating the Bernio legal AI workflow platform. Our registered address and data protection contact will be published at general availability launch. Questions: privacy@bernio.ai

2. Data We Collect

We collect only what is necessary to operate the platform and communicate with you:

  • Account data — name, professional email, firm name, role
  • Usage data — platform interactions, feature usage, error logs (no client matter content)
  • Communications — emails and messages you send to us
  • Technical data — IP address, browser type, device identifiers for security and access control

We do not collect, retain, or process client matter content on our infrastructure for cloud-hosted deployments, except where explicitly agreed in a Data Processing Agreement. On-premise deployments (Bernio Pro) operate entirely within your perimeter — we have no access to any data.

3. How We Use Your Data
  • To provide, operate, and improve the Bernio platform
  • To communicate with you about your account, security, and product updates
  • To comply with legal obligations and enforce our Terms of Service
  • To detect and prevent fraud, security incidents, and unauthorised access

We do not sell your data. We do not use client or matter data for model training.

4. Data Retention

Account data is retained for the duration of the customer relationship and for a period thereafter as required by applicable law or as agreed in your service agreement. Usage and technical data is retained for up to 12 months for security and operational purposes. You may request deletion of your personal data at any time by contacting privacy@bernio.ai.

5. Third-Party Processors

We use a limited number of sub-processors (cloud infrastructure, authentication, analytics) who are bound by data processing agreements consistent with applicable law. A current list of sub-processors is available on request. We do not share personal data with third parties for their own marketing or commercial purposes.

6. Your Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, or restrict processing of your personal data, and to data portability. To exercise these rights, contact privacy@bernio.ai. We will respond within 30 days.

7. Changes to This Policy

We will notify active users of material changes to this Privacy Policy with at least 30 days' notice prior to the change taking effect. Continued use of the platform following notification constitutes acceptance of the revised policy.
